Terms of Service

The terms governing your use of Atheneum AI consulting services. Last updated: 7 March 2026.

1. Agreement

These Terms of Service ("Terms") govern your use of consulting services provided by Atheneum AI Consulting Ltd., a company registered in England and Wales ("Atheneum AI", "we", "us", "our").

By engaging our consulting services, accessing our website, or entering into a consulting agreement, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.

2. Services and engagements

Atheneum AI provides fixed-price consulting services including rapid prototyping, data strategy reviews, and software strategy reviews. Each engagement is governed by a consulting agreement that specifies the scope, deliverables, duration, and fees.

All fees are fixed at the point of engagement. There are no hourly rates, and the price does not change unless the scope is mutually agreed to change in writing.

Engagement fees and payment terms are set out in your individual consulting agreement or statement of work.

3. Your responsibilities

You are responsible for: providing access to relevant stakeholders as specified in your engagement agreement, supplying requested documentation, data, or system access in a timely manner, designating a primary point of contact for the engagement, and making decision-makers available for presentations and handover sessions.

You agree not to: share our proprietary methodologies, tools, or frameworks with third parties without our written consent, or misrepresent the scope or authorship of deliverables we produce.

4. Deliverables and intellectual property

Upon completion of an engagement and receipt of full payment, you receive ownership of all deliverables specified in your consulting agreement, including prototypes, reports, assessments, and roadmaps.

Atheneum AI retains the right to use general knowledge, techniques, and methodologies developed or refined during the engagement. We do not retain copies of your confidential data or proprietary information.

5. Confidentiality

Both parties agree to treat as confidential any proprietary or sensitive information shared during the engagement. This includes business data, technical architecture, strategic plans, and any information marked as confidential.

Confidentiality obligations survive termination of the engagement for a period of two years.

6. Limitation of liability

To the maximum extent permitted by law, Atheneum AI Consulting Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from our consulting services.

Our total liability under these Terms shall not exceed the fees paid by you for the specific engagement giving rise to the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

7. Termination

Either party may terminate a consulting engagement with 7 days' written notice. If you terminate before completion, fees for work already completed are non-refundable.

We may terminate immediately if you breach these Terms and fail to remedy the breach within 14 days of written notice.

8. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to active clients via email. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.

9. Governing law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
